中国采购中的汇率与支付风险

大多数采购经理将风险预算花在质量、交期和物流上。汇率则悄然潜伏在背景中——直到它不再沉默。以美元计价但以人民币结算的采购订单实际上是两笔交易:一份制造合同和一个未对冲的外汇头寸。如果在报价和付款之间人民币对美元升值,供应商收到的人民币将少于计划,要么自行承担损失,要么回头要求调价。如果人民币贬值,买家则相对于市场价支付过多。

问题的规模很容易被低估。在200,000美元的年采购额上,4%的不利波动就是8,000美元——往往超过买家在询价环节谈下的全部节省。这就是为什么汇率应属于商业谈判的一部分,而不是脚注。

买家实际承担的三种风险敞口

如果您拥有中国实体、人民币收入,或与供应商的关系足够深入,他们愿意以真正更紧的利润率报人民币价,那么以人民币计价可能值得。它还消除了一层争议:供应商的成本——钢材、线材、劳动力、电力——全部以人民币计价,因此人民币合同与其成本基础完全匹配。问题在于您现在承担了对冲责任。这意味着要么与银行签订远期合约,要么明确接受您的到岸成本将变动。

支付条款是一个信任阶梯。您所处的位置取决于关系长度和订单规模,而不是您能施加多大压力。

  • 30%定金是正常且合理的。它用于购买原材料。在首次订单上完全拒绝它表明您是个难缠的客户,通常会被计入价格。
  • 与检验挂钩的余款支付是最便宜的风险降低方式。定制CNC加工订单进行装运前检验的费用仅为订单价值的一小部分,却将“相信我”转化为“这是报告”。
  • 信用证并非免费。预计双方都有银行费用,加上单据不符风险。它们在约50,000美元以上才有意义,低于此则不然。

如何撰写双方都能接受的汇率条款?

一个可行的汇率条款包含四个部分,所有四个部分都需要写入采购订单或供应协议——而不是电子邮件中。

1. 基准汇率。明确来源和日期。“采购订单日中国人民银行中间价”是明确的;“当前市场汇率”则不是。

2. 中性区间。通常为±3%。区间内价格不变。这消除了小幅波动的行政噪音。

3. 超出区间的分担公式。最常见的分摊是超出区间部分50/50分担。例如:如果汇率不利变动5%,买家承担1%,供应商承担1%,基础价格相应调整。

4. 重置机制。决定基准汇率是按每份采购订单重置还是按季度重置。按订单更简单;按季度在高频下单时更易管理。

两条规则可防止大多数损失。第一,银行指令上的收款人名称必须与合同和发票上的公司名称一致。第三方账户——“姊妹公司”、董事个人账户、非您交易对手的香港贸易实体——是中国采购中支付欺诈最常见的载体。第二,任何银行信息变更都必须通过电话核实,使用您已有的号码。基于电子邮件的银行信息变更是典型的拦截攻击,它们看起来完全合法。

如何处理模具、定金和退款?

模具是汇率和支付风险碰撞的地方,因为模具付款金额大、时间早,且与您可能无法实际控制的资产相关。一些经得起考验的做法:

  • 按里程碑支付模具费,而非一次性付清。设计批准、首件批准和生产就绪是自然的节点。

  • 保持定金比例适当。在模具量大的项目中,总额30%的定金是正常的;在任何图纸签署前仅模具就支付50%定金则不正常。

对于风险较低的类别——压缩弹簧、标准紧固件、简单支架——模具通常很少或已摊销到单价中,这消除了大部分复杂性。需要书面记录的是定制、高腔、高价值的模具。

1. 以美元报价,同时要求人民币等值报价。在承诺之前了解汇率缓冲。
