中国模具所有权:合同与摊销

简短回答:模具所有权不是自动的——它取决于你的采购订单和模具协议。如果你支付了一笔单独的、逐项列出的模具费用,你应当直接拥有该模具,并有权将其取回。如果模具成本被摊销到单价中,供应商通常在摊销完成或你支付买断费之前拥有它。无论哪种方式,合同必须明确模具、付款路径、买断公式和转移条款。缺少这四个要素,你的“所有权”只是口头假设——而口头假设无法在更换供应商时存续。

大多数采购团队花数周谈判单价,却几乎不花时间谈判谁拥有钢材。这是本末倒置。单价是经常性的、可见的成本;模具是一次性的、高价值的资产,它决定了你是否能离开供应商而不必从头开始。本文解析所有权模式、摊销计算以及保护从中国采购冲压件、CNC 夹具和弹簧卷制模具的买方的合同条款。

为什么模具所有权比单价更重要?

一套中等复杂度的连接器端子级进冲压模具可能花费 8,000–25,000 美元。一套用于系列机加工壳体的 CNC 软爪和夹具可能需要 1,500–6,000 美元。一套带定制凸轮和螺距工具的弹簧卷制机设置可能需要 2,000–10,000 美元。这些是典型的指示性范围——实际数字取决于零件复杂度、工位数、公差等级和材料。

现在将其与单价比较。如果你在 500,000 件的年产量上每件节省 0.02 美元,你每年节省 10,000 美元。如果你失去一套价值 20,000 美元的模具的所有权,你一举交回了那笔节省的两倍——而且你还把未来每次价格谈判的筹码交给了供应商。

所有权就是筹码。它也是保险。你拥有的模具可以被移动、复制、由第三方翻新,或在争议期间作为担保。你不拥有的模具是人质。

模具所有权的三种模式是什么?

几乎所有的中国模具安排都属于以下三种结构之一。它们的区别在于谁付款、谁持有所有权以及谁控制退出。

模式 1:单独的模具采购订单

你为模具签发一份单独的采购订单,供应商开具发票,模具协议规定全额付款后所有权转移给你。这是最清晰的结构,也是大多数有经验的买方坚持采用的结构,即使这意味着前期支付现金。

优势是清晰。模具是你账面上的资产。它可以折旧、投保,并且——关键的是——可以取回。劣势是现金流:你在还没有一个量产零件之前就付款了。

模式 2:摊销模具

这里模具成本被分摊到约定的产量上并加到单价中。一套 12,000 美元的模具在 300,000 件上摊销,每件增加 0.04 美元。一旦达到摊销产量,单价应下降 0.04 美元。

这是大多数争议的起源。三个问题必须书面回答:

1. 摊销产量是多少?如果从未达到,余额是否应付?

2. 价格是否真的下降?许多合同从未说明摊销后的价格。

3. 所有权何时转移?开始时、完全摊销时,还是仅在买断时?

模式 3:供应商出资模具

供应商承担模具成本并通过利润回收。这看起来有吸引力,因为它消除了前期现金,但这意味着供应商直接拥有资产。如果你以后想转移零件,你必须从弱势地位谈判买断——供应商没有义务出售,也没有义务报出公平价格。

摊销计划应如何构建?

一个可辩护的摊销计划有四列:模具成本、摊销产量、每件加价和摊销后价格。以下是一个冲压支架的示例。

买断公式是买方忘记的条款。如果你想在摊销完成前转移模具,你需要一个预先约定的数字。直线公式——剩余未摊销余额——是最公平且最容易审计的。其他任何方式都会引发争论。

模具所有权协议应包含哪些条款?

模具协议不需要很长。它需要具体。以下八个条款涵盖了绝大多数真实争议。

  • 模具标识。按编号、描述、型腔/工位数以及它生产的零件号列出每个模具。“模具”不是可接受的描述。
  • 所有权和转移。说明转移所有权的确切事件:全额付款、完全摊销或买断付款。
  • 付款路径。单独采购订单、摊销加价或买断——明确命名。
  • 买断公式。直线剩余余额,并附有计算示例。
  • 访问和检查。你检查模具的权利,费用由你承担,并提前合理通知。
  • 维护和维修。谁支付磨损维护费用(通常由供应商承担,作为单价的一部分)与买方驱动的设计变更造成的损坏(通常由买方承担)。
  • 转移条款。包装标准、谁支付运费,以及模具必须返还的状态——可量产状态,并附有记录的试模。
  • 争议保留。在付款争议未解决期间,模具不得报废、出售或用于其他客户的零件。

第七条是最常出错的。一套到达时没有试模记录、冲头磨损或垫片组错误的模具,在功能上就是一个新的模具项目。明确规定“以可量产状态返还,并在买方指定工厂进行记录的试模”,并据此保留最终付款。

模具所有权因工艺而异吗?

金属冲压

散热器和深拉件

挤压模具、铲齿夹具和深拉冲头在成本上介于冲压和机加工之间。深拉模具尤其应记录冲头和模具图纸集,因为重建频繁。

当你想转移模具时会发生什么?

模具转移是检验所有权的地方。运行良好的转移遵循可预测的顺序。

1. 书面转移请求,引用模具协议条款。

2. 结清任何未结余额——未摊销模具、未付发票或约定的买断。

3. 在当前供应商处进行模具状态检查,最好附有照片和试模报告。

4. 按定义标准包装,并涂防锈涂层和装箱单。

5. 安排运费——明确模具移动本身的 Incoterms,这与零件 Incoterm 是分开的。

6. 在接收工厂试模,并根据原始图纸进行首件检验。

第六步不是可选的。在旧供应商压力机上运行的模具可能需要在新的压力机上垫片、更换弹簧或更换冲头。为此做预算。

如何避免模具锁定?

锁定很少是单个坏条款的结果。它会累积。以下做法让你保持可移植性。

  • 如果现金流允许,始终单独支付模具费。这是最有效的保护。
  • 永远不要接受“模具是免费的”而不了解你放弃了什么。
  • 获取模具图纸。即使你不拥有模具,图纸也能让你重新报价。
  • 记录工艺,而不仅仅是零件。设置表、试模记录和检测计划。
  • 保持模具登记册,包含位置、状态、上次试模日期和剩余摊销。
  • 每年审查。启动时签署的模具协议到第三年往往已经过时。

问:如果我单独支付模具费,谁拥有模具?

答:你拥有,前提是模具协议规定全额付款后所有权转移,并具体标识模具。仅凭单独的发票是不够的——合同必须明确模具、付款事件和转移条款。没有书面所有权条款,供应商可以争辩说付款是对模具成本的贡献,而不是购买资产本身。

问:中国供应商可以拒绝放行我的模具吗?

答:如果有未结余额、未解决的争议或没有书面所有权条款,他们可以拒绝。大多数供应商在结清合法未付金额后会放行模具。保护是合同性的:包括一项条款,规定一旦所有已开票金额付清,模具不得被扣留,并且不得用于其他客户的零件。

问:公平的模具买断价格是多少?

答:最公平的公式是按直线法计算的剩余未摊销余额。如果一套 14,000 美元的模具在 350,000 件上摊销,你已经消耗了 150,000 件,剩余余额约为 8,000 美元。在签署合同时约定这个公式,而不是在你想离开的时候——那是你谈判地位最弱的时候。

问:摊销模具会使单价永远更高吗?

答:不应该。模具加价是临时组成部分,一旦达到摊销产量就必须移除。失败模式是合同增加了加价但从未说明摊销后价格。始终将两个价格写入协议,并加上确认摊销产量何时消耗的机制。

问:模具在更换前应使用多久?

答:这取决于材料和模具钢。运行低碳钢的级进模在大修之间可能生产 300,000–1,000,000 次冲程;更硬或更厚的材料会大大缩短。这些是典型数字,不是保证。向你的供应商询问在你特定材料和厚度下的预期模具寿命,并将其作为维护参考点写入协议。
