模具付款与折旧:结构与风险

简短回答:模具付款可以是一次性费用(您预先支付全部模具费用并拥有它),也可以是分摊费用(成本按约定数量分摊到单价中)。典型结构是订单和首件批准后50/50付款,或与设计冻结、T1样品和PPAP级批准挂钩的30/40/30。折旧期通常为12-36个月或固定件数。真正的风险不是付款分割——而是谁拥有模具、所有权何时转移,以及如果产量崩溃模具会怎样。在第一个采购订单之前,将所有权、买断价格和模具转移权以书面形式确定下来。

为什么模具条款决定项目的经济效益

模具是中国采购项目中唯一一项买方为实际位于他人建筑中的资产付费的项目。一套冲压级进模、CNC夹具、弹簧卷簧凸轮组或挤压模具的成本可能从几百到数万美元不等。这笔钱购买的是产能,而不是库存。

由于模具在供应商处,三件事纠缠在一起:现金流、单价和控制权。自己支付模具费用的供应商会将摊销计入单件价格。预先现金支付的买方应期望更低的单件价格——并且应期望能够将模具拿走。这一领域的大多数争议来自从未将这三个问题分开的合同。

主要的模具付款结构有哪些?

有四种常用结构。它们的区别在于谁为模具出资以及成本如何返还给供应商。

全额预付

买方支付全部模具费用,通常在采购订单时支付50%,在首件批准时支付50%。单件价格随后仅反映材料、人工、管理费用和利润。这是所有权最清晰的模式,也是大多数工程师假设他们正在购买的模式。它要求买方有可用资金,并接受如果项目终止,模具是沉没成本。

里程碑付款

30/40/30的分割——设计冻结时30%,T1样品批准时40%,生产批准时30%——是我们看到的最常见结构。它将现金与已证明的进展对齐,并保护双方。50/50版本更简单,当模具简单且设计已冻结时效果很好。

摊销模具

这里模具成本除以约定数量并加到单价中。一套6,000美元的模具按30,000件摊销,每件增加0.20美元。达到摊销数量后,单件价格应降至“模具已付”费率。这就是合同变得模糊的地方:许多协议从未说明摊销后的价格,因此买方永远继续支付加价费率。

供应商出资模具

模具折旧实际上如何运作?

采购合同中的折旧不是会计折旧。它是一种合同回收计划。三个变量定义它:

  • 回收基础——总模具成本,或模具成本加上工程和试运行成本。
  • 回收期——时间窗口(12、24、36个月)或件数(1万、5万、10万件)。
  • 触发点——加价费率转换为标准费率的点。

基于数量的折旧通常对买方最公平,因为付款跟踪实际生产。基于时间的模型将需求风险转移给买方。如果供应商坚持基于时间的回收,请协商总风险上限,以及如果项目因供应商造成的质量问题而取消,则停止加收的条款。

买断条款

每个摊销协议都应包括买断价格:结算剩余模具余额并获得所有权的公式。典型条款写道“剩余未摊销余额,计算为总模具成本减去已开票的加收费用,在书面通知后30天内支付。”没有这个,摊销模具可能变得无法提取。

谁拥有模具,所有权何时转移?

所有权和占有是不同的东西,混淆它们的合同会导致大多数模具争议。

所有权应在全额付款时转移给买方。只要供应商在生产零件,占有权就留在供应商处。合同应说明:

1. 模具是买方的财产,通过模具编号和资产标签标识。

2. 供应商作为受托人持有,而不是作为抵押品。

3. 供应商不得将模具用于任何其他客户。

4. 应要求,供应商将模具释放给买方或指定的第三方,但需支付任何无争议的未结余额。

5. 供应商将维护模具并报告损坏或磨损。

对于多工艺零件——一个还需要对安装面进行CNC加工的冲压支架,或一个将定制金属冲压与缠绕的压缩弹簧配对的壳体——所有权变得更加复杂,因为涉及多个模具。在合同附表中列出每个模具、夹具和量具,并附上各自的模具编号和成本。

模具转移机制

将模具或夹具物理移出中国很简单,但不是免费的。预计会有装箱、出口文件和运费。更重要的是,接收工厂必须能够运行模具。在移动任何东西之前,要求提供模具图纸、设置表、最后一次维护记录和工艺参数。没有设置数据的模具就是镇纸。

买方应考虑哪些风险?

模具风险分为四类。每一类都有合同答案。

第五个更隐蔽的风险是设计变更。如果您在模具切割后修改零件,供应商将报价修改费用。提前商定如何处理微小变更——许多供应商在头30天内作为善意吸收小变更,但那是礼貌,不是权利。

为什么质量协议在这里很重要

  • 要求模具成本明细。材料、加工小时、热处理、合模、试运行。无法分解10,000美元模具的供应商要么在猜测,要么在加价。
  • 推动基于数量的摊销。它将您的付款与实际需求挂钩。
  • 坚持摊销后价格。在签署前以书面形式获得降低的单价。
  • 限制总模具风险。摊销余额的上限在项目削减时保护您。
  • 将模具成本与NRE分开。工程、夹具和量具通常捆绑在一起。逐项列出,以便您决定实际需要拥有什么。
  • 决定您是否真的想要模具。对于低产量项目,有时支付更高的单件价格并让供应商拥有模具更便宜。

一个实例

一位买方每年需要40,000个冲压触点,持续三年。模具成本为8,500美元。收到两份报价:

  • 供应商A:8,500美元50/50支付,单件价格0.085美元。
  • 供应商B:无前期成本,前100,000件单件价格0.115美元,之后0.078美元。

三年内120,000件,供应商A成本为8,500美元 + 10,200美元 = 18,700美元。供应商B成本为11,500美元 + 1,560美元 = 13,060美元。供应商B更便宜——但前提是您实际发货120,000件。如果项目在30,000件时取消,供应商A成本为11,050美元,供应商B成本为3,450美元加上可能的未结余额。结构,而不是价格,决定哪个更好。

问:我应该预先支付模具费还是摊销?

答:当产量高且可预测时预先支付,因为您获得最低的单件价格和清晰的所有权。当产量不确定、模具成本相对于项目价值较高,或您想保留现金时摊销。决定因素是谁能更好地承担需求风险——如果您无法自信地预测产量,摊销将风险转移给供应商,但需付出代价。

问:如果供应商支付了模具费,谁拥有模具?
