IP protection with a Chinese factory is a staged system, not a single document: an NDA that covers the commercial discussion, drawing and data control that limits what the factory can retain, and — for tooled products — a written tooling ownership agreement plus a Chinese-registered patent if the design is genuinely novel. Each layer closes a different leak. The factory that objects to reasonable IP terms is telling you something before you ever sign.
Most IP anxiety about Chinese manufacturing is misplaced in detail: the realistic risks are not usually a factory stealing your design and building a competing brand. The realistic risks are a former employee or subcontracted supplier reusing your tooling, a factory quoting your part to another customer from memory, or your mold being held hostage when you change suppliers. The pattern: most damage flows through your own tooling and your own data, which contracts can control — not through outright piracy, which only registration and enforcement can touch. Spend contract effort first, registration second.
The NDA That Actually Works
A generic one-page NDA is better than nothing and weaker than it looks. For China manufacturing, the NDA needs four specific properties: it must be signed by the legal entity that will actually do the work, not a salesperson; it must flow down to subcontractors the factory uses for your parts; it must survive the relationship; and it must define what happens to returned materials and drawings when the order ends. Governing law and dispute venue in the NDA matter less than people assume for prevention — the document's real job is to set expectations and create a written record — but they matter enormously if you ever need enforcement, so take local counsel on the jurisdiction clause rather than copying a template.

Tooling Ownership: The Clause That Prevents Hostage Situations
For stamped parts, springs with custom tooling, and many machined programs with fixtures, the tooling is the product. Whoever owns the tooling controls the relationship. Chinese practice is clear when it is written down: the buyer pays for the tooling, the tooling belongs to the buyer, and the factory holds it as custodian for the buyer's orders.

The single most practical number in tooling protection is the deposit structure: a tooling payment that is fully paid and receipted before production, with ownership language on the same document. Buyers who keep tooling "hostage" leverage often find the factory simply prices the risk in — a written ownership clause with a receipt is cleaner leverage than an unpaid balance. Note that in practice, returning a large progressive die to a buyer on another continent is rare; most buyers instead negotiate the right to have the tooling transferred to a vetted successor factory in China, which is cheaper and faster than shipping.
Registration: What Only Chinese Law Protects
Contracts govern the parties who signed them. Against a third-party copier, only registered rights in China work. A US or EU patent gives you nothing in Dongguan. If your product is genuinely novel and commercially important, the protection ladder is: patent or design registration in China (via a Chinese patent agent, with priority claims where treaties allow), registered trademark for your brand in China, and copyright registration for software and detailed documentation. Budget realistically: Chinese patent filing and maintenance is a fraction of US costs, but enforcement still requires local counsel and evidence. For most precision hardware — brackets, springs, contacts, heat sinks — the design is not patent-novel, and money spent on registration is better spent on tooling control and supplier selection. Be honest with yourself about which category your product is in.

The practical sequence for a first production program, in order:
1. Sign an entity-correct NDA with flow-down before sending full drawings.
2. Send only what is needed: 2D drawings with critical tolerances for quoting; full 3D models only after the order is placed.
3. Put tooling ownership, exclusive use, and return/transfer terms into the order documents and the tooling quotation.
4. Use a trusted factory as the single point of control so your design does not circulate across its subcontractors without need.
5. Register patents/designs/trademarks in China only for genuinely novel, commercially material IP.

Yes, when signed by the correct legal entity and drafted for China — enforceability depends on the contract terms and local law, not on whether the other party is Chinese. Its bigger practical value is prevention and a written record.
Q: Who owns the mold or die if the contract is silent?
